Acceptance of Terms
By downloading, installing, accessing, or using the PlayerAid mobile application or any associated website or service (collectively, the "Service"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and PlayerAid ("Company," "we," "us," or "our"). If you are using the Service on behalf of an organization or business, you represent that you have the authority to bind that organization to these Terms, and references to "you" include both you personally and that organization.
Arbitration Notice: These Terms include a binding arbitration clause and class action waiver in Section 15. Please read that section carefully — it affects how disputes between you and PlayerAid are resolved.
Eligibility & Registration
Age Requirements
- You must be at least 13 years old to use PlayerAid.
- If you are between 13 and 17 years old, you may only use the Service with the express consent and active supervision of your parent or legal guardian, who agrees to be bound by these Terms on your behalf.
- You must be at least 18 years old to independently enter into financial transactions on the platform, including Stripe Connect onboarding and marketplace payments.
Account Registration
To access most features of the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration and keep it updated
- Maintain the confidentiality of your login credentials and not share them with others
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at support@playeraid.org if you suspect unauthorized access to your account
- Not create an account on behalf of another person without their express authorization
- Not maintain more than one active account without explicit written permission from PlayerAid
Account Verification
We may require you to verify your identity, email address, or other information at registration or at any later time. We reserve the right to reject account applications or terminate accounts that cannot be verified or that appear to involve misrepresentation.
Account Types & Responsibilities
PlayerAid offers three primary account types:
Athlete Account
For individual athletes seeking to build their player profile, track development, join teams, connect with coaches, and access the services marketplace.
Coach Account
For coaches and sports professionals seeking to manage teams, create events, organize expenses, and offer services through the marketplace as a provider.
Business Account
For sports-related businesses, organizations, and service providers seeking to list services, manage clients, process bookings, and access platform analytics.
Co-Managers
Account owners may invite co-managers to assist in managing teams and athlete data. Co-managers are bound by these Terms, and the primary account owner remains solely responsible for all actions taken by their co-managers on the platform.
Managed Player Profiles
Coaches, parents, and guardians may create profiles for athletes who do not have their own PlayerAid accounts ("Managed Players"). By creating a Managed Player profile, you represent that you:
- Are the legal parent, guardian, or duly authorized coach of the minor athlete
- Have legal authority to submit the athlete's personal information and consent on their behalf
- Accept full responsibility for ensuring the accuracy, appropriateness, and lawfulness of information submitted for the Managed Player
- Understand that you bear liability for any claims arising from Managed Player profiles you create
Platform Services
PlayerAid provides the following core services. The availability of specific features may vary based on your account type, subscription status, and region.
Player Profiles
Digital athlete profiles displaying performance data, athletic history, sport-specific metrics, achievements, and recruiting-relevant information.
Team Management
Tools for creating and managing sports teams, rosters, communications, and team-level administrative functions.
Scheduling
Event creation and management including practices, games, and recurring events with RSVP functionality, location mapping, and calendar integration.
Services Marketplace
A platform connecting athletes, coaches, and sports professionals for training sessions, coaching, and other sports-related services including bookings and payments.
AI Assistant
An AI-powered conversational assistant that answers platform questions, provides guidance, and suggests profile updates. See Section 08 for important limitations.
Messaging
In-app direct messaging between platform users in team and marketplace contexts.
QR Player Cards
Shareable digital cards providing access to an athlete's public profile page for recruiting and networking purposes.
PlayerAid reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice, and without liability to you.
Payments & Financial Terms
Payment Processor
All payment transactions on PlayerAid are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By making or receiving payments through PlayerAid, you agree to Stripe's Terms of Service and Privacy Policy. Your payment card and banking information is collected and processed directly by Stripe and is not stored on PlayerAid's servers.
Team Expenses
Coaches and team managers may create expense records and collect payments from team members through the platform. By joining a team, athletes and their guardians acknowledge that coaches may create financial obligations using this feature. Disputes regarding team expenses are solely between the athlete (or guardian) and the coach; PlayerAid is not a party to these transactions.
Marketplace Payments
Bookings made through the Services Marketplace constitute direct transactions between the service provider and the client. PlayerAid facilitates the payment infrastructure but is not a party to the underlying service agreement and does not guarantee the quality, safety, delivery, or legality of any services.
Stripe Connect (Service Providers)
Service providers who accept payments through the platform must complete Stripe Connect onboarding. By completing onboarding, you agree to the Stripe Connected Account Agreement. PlayerAid may charge a platform service fee on marketplace transactions, which will be disclosed clearly at the time of the transaction.
Refunds
Refund eligibility for marketplace bookings is determined by the service provider's stated cancellation and refund policy, which must be disclosed on their listing. Team expense payments are generally non-refundable unless the charge was made in error. For payment disputes, contact support@playeraid.org.
Taxes
You are solely responsible for determining and fulfilling all tax obligations applicable to your marketplace earnings or purchases. PlayerAid does not provide tax advice. Stripe may issue applicable tax forms to providers as required by law.
Marketplace Terms
For Service Providers
- You represent and warrant that you hold all necessary licenses, certifications, qualifications, and legal permissions required to offer the services you list on the platform.
- You are solely responsible for the accuracy of your service descriptions, pricing, availability, and any claims made about your qualifications or experience.
- You agree to honor all confirmed bookings or provide adequate advance notice and a full refund for cancellations.
- You must clearly disclose your cancellation and refund policy on your listing before accepting bookings.
- PlayerAid may suspend or permanently remove listings that violate these Terms, our guidelines, or applicable law, without prior notice or liability.
For Clients
- You are responsible for independently evaluating service providers before booking. PlayerAid does not vet, certify, endorse, or guarantee the qualifications, credentials, or conduct of any service provider.
- Reviews and profile information displayed are provided by users and may not be independently verified.
- Disputes with service providers should be attempted directly in the first instance. PlayerAid may, at its sole discretion, mediate disputes but is not obligated to do so.
- You should exercise the same caution you would when engaging any independent professional.
Platform Role Disclaimer
PlayerAid is a technology platform, not a service provider, employer, staffing agency, or agent of any marketplace participant. PlayerAid makes no representations or warranties regarding the quality, safety, fitness, or legality of any services listed on the platform. All marketplace relationships are solely between the provider and the client.
User-Generated Content
Your Ownership
You retain ownership of all content you upload, post, or submit to PlayerAid ("User Content"), including profile information, photos, videos, messages, and social feed posts.
License to PlayerAid
By submitting User Content, you grant PlayerAid a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, store, display, reproduce, transmit, and distribute your User Content solely for the purposes of operating, providing, and improving the Service. This license terminates when you delete the specific User Content or close your account, subject to our data retention obligations.
Your Representations
By submitting User Content, you represent and warrant that:
- You own the User Content or have all necessary rights and permissions to submit it
- Your User Content does not infringe any third-party copyright, trademark, privacy, or other intellectual property or proprietary right
- You have obtained the written consent of all identifiable individuals depicted in your User Content, including from parents or guardians for any minors depicted
- Your User Content is accurate and does not contain false or misleading information about yourself or others
- Your User Content complies with these Terms and all applicable laws
Content Moderation
PlayerAid reserves the right, but not the obligation, to review, monitor, remove, or refuse any User Content at our sole discretion, with or without notice, for any reason including a violation of these Terms or applicable law. We do not assume any liability for User Content that we choose to display or remove.
AI Assistant
Important — AI Limitations
The PlayerAid AI assistant is a productivity and convenience tool. It is not a licensed professional of any kind. Do not rely on AI-generated content as a substitute for qualified professional advice.
Not Professional Advice
The AI assistant does not provide professional athletic training, medical, nutritional, psychological, legal, financial, or academic advice. Content generated by the AI assistant is for informational and convenience purposes only. Always seek the advice of qualified professionals for decisions that affect your health, safety, finances, legal standing, or athletic development.
Profile Update Suggestions
The AI assistant may suggest changes to your player profile based on your conversations. Any suggested updates require your explicit confirmation before being applied. You are solely responsible for reviewing and approving all AI-suggested edits before they are saved to your profile.
Accuracy Not Guaranteed
AI-generated responses may contain errors, inaccuracies, hallucinations, or outdated information. PlayerAid does not warrant the accuracy, completeness, reliability, or fitness for any particular purpose of any AI assistant output. Use all AI-generated information with appropriate judgment and independent verification.
Data Processing
Your conversations with the AI assistant, including any personal information you share in that context, are processed and stored as described in our Privacy Policy.
Prohibited Conduct
The following conduct is strictly prohibited on the PlayerAid platform. Violations may result in immediate account suspension or termination and may be reported to applicable law enforcement authorities.
Account & Identity
- Providing false, misleading, or inaccurate registration or profile information
- Creating profiles for real individuals without their express consent (or parental/guardian consent for minors)
- Impersonating any person, organization, or PlayerAid
- Accessing another user's account without authorization
- Creating multiple accounts to circumvent suspensions or restrictions
Content & Conduct
- Harassing, bullying, threatening, intimidating, or abusing other users
- Posting content that is defamatory, obscene, hateful, discriminatory, or that glorifies violence
- Posting sexually explicit content of any kind
- Sharing another person's private or personally identifiable information without their consent ("doxxing")
- Uploading or distributing malware, viruses, spyware, or other harmful code
Platform Integrity
- Attempting to gain unauthorized access to any part of the Service, our servers, or connected systems
- Scraping, crawling, or systematically extracting data from the Service without express written permission
- Using automated tools, bots, or scripts to interact with the Service in ways that are not authorized
- Manipulating metrics, ratings, reviews, or rankings
- Circumventing or attempting to circumvent any payment controls, access restrictions, or security measures
- Using the Service to transmit unsolicited commercial communications (spam)
Financial & Marketplace
- Listing services you are not qualified, licensed, or legally permitted to provide
- Using another user's payment credentials or financial information without authorization
- Engaging in fraudulent transactions or chargebacks
- Facilitating off-platform payments to circumvent marketplace fees or protections
Legal Compliance
- Using the Service for any purpose that violates applicable local, state, national, or international law
- Violating any third-party intellectual property, privacy, or other proprietary rights
- Using the Service to facilitate illegal discrimination based on race, gender, religion, disability, or other protected characteristics
Intellectual Property
PlayerAid's Intellectual Property
All intellectual property rights in and to the Service — including the software, source code, platform design, user interface, logo, brand marks, trademarks, and all content created by PlayerAid — are owned by PlayerAid or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any rights in PlayerAid's intellectual property except as expressly set forth herein.
You may not copy, modify, create derivative works from, distribute, sell, lease, sublicense, publicly perform or display, or otherwise exploit any part of our Service or the software powering it without our express prior written permission.
Feedback
If you provide feedback, suggestions, bug reports, or ideas regarding the Service (collectively, "Feedback"), you hereby grant PlayerAid an irrevocable, perpetual, worldwide, royalty-free license to use, implement, and build upon such Feedback for any purpose, without any obligation to compensate, credit, or notify you.
Copyright & DMCA
PlayerAid respects the intellectual property rights of others. If you believe that any content on the platform infringes your copyright, please send a DMCA takedown notice to legal@playeraid.org with sufficient detail to identify the allegedly infringing content, the copyrighted work, and your contact information. We will respond to valid DMCA notices in accordance with applicable law.
Termination
Termination by You
You may delete your PlayerAid account at any time through the app settings. Upon deletion, your right to access the Service ceases and your data will be handled according to our Privacy Policy.
Termination by PlayerAid
We may suspend or permanently terminate your account at any time, with or without notice, for any of the following reasons:
- Violation of these Terms or any applicable law
- Conduct that may harm PlayerAid, other users, or third parties
- Suspected fraudulent, abusive, or illegal activity
- Extended periods of account inactivity
- If required to do so by law or a lawful governmental request
We will endeavor to provide notice where reasonably practicable, except in cases of serious violations or where doing so would compromise security or legal obligations.
Effect of Termination
Upon termination for any reason, your license to use the Service immediately terminates. We may retain certain data for as long as required by law or our legitimate business purposes, as described in our Privacy Policy. The following sections of these Terms survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law & Disputes.
Disclaimers of Warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, or course of dealing. PlayerAid does not warrant that: (a) the service will be uninterrupted, timely, secure, or error-free; (b) results obtained from the service will be accurate, complete, or reliable; (c) any errors in the service will be corrected; or (d) the service will meet your specific requirements or expectations.
Recruiting Disclaimer
PlayerAid facilitates athlete visibility, profile sharing, and connecting athletes with coaches and opportunities. PlayerAid does not guarantee any specific recruiting outcome, scholarship, opportunity, selection, or connection with any college program, professional team, scout, or brand. All recruiting and hiring decisions are made entirely by third parties independent of PlayerAid.
Marketplace Disclaimer
PlayerAid does not vet, endorse, certify, or guarantee the services, skills, qualifications, licensing, insurance, safety record, or conduct of any service provider on the platform. You engage with marketplace providers at your own risk.
Third-Party Content
The Service may contain links to or integrate with third-party websites, services, and content. PlayerAid is not responsible for and does not endorse any third-party content, products, or services. Your interactions with third parties are governed by their own terms and privacy policies.
Limitation of Liability
To the maximum extent permitted by applicable law, PlayerAid and its officers, directors, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including lost profits, loss of data, loss of goodwill, business interruption, personal injury, loss of privacy, or other intangible losses — arising out of or in any way related to: (a) your access to or use of, or inability to access or use, the service; (b) any conduct or content of any user or third party on the service; (c) any marketplace transactions; (d) unauthorized access to or alteration of your data; or (e) any other matter related to the service, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if PlayerAid has been advised of the possibility of such damages.
PlayerAid's total cumulative liability to you for all claims arising under or related to these Terms or the service shall not exceed the greater of: (a) the total fees actually paid by you to PlayerAid in the twelve (12) months immediately preceding the claim giving rise to liability; or (b) one hundred United States dollars (US $100.00).
Some jurisdictions do not allow the exclusion of certain warranties or limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you to the extent prohibited by applicable law. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PlayerAid and its officers, directors, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
- Your access to or use of the Service
- Any User Content you submit, post, or transmit
- Your violation of these Terms or any applicable law or regulation
- Your violation of any third-party right, including any intellectual property right, privacy right, or publicity right
- Your conduct on the platform or in connection with any marketplace transaction
- Any claims by minor athletes or their parents/guardians arising from Managed Player profiles you have created
- Your misrepresentation of your qualifications, credentials, or authority
PlayerAid reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.
Governing Law & Disputes
Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles, and without regard to the United Nations Convention on Contracts for the International Sale of Goods.
Informal Resolution First
Before filing any formal claim, you agree to contact us at legal@playeraid.org and make a good-faith effort to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving notice. Many concerns can be resolved quickly through this process.
Binding Arbitration
Please read carefully. If informal resolution fails, you agree to resolve disputes through binding individual arbitration rather than in court, waiving your right to a jury trial and your right to participate in class actions.
If informal resolution fails after 30 days, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted on an individual basis only; class arbitrations and class actions are not permitted.
The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The AAA Consumer Arbitration Rules are available at adr.org.
Exceptions to Arbitration
Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or to prevent imminent harm that cannot adequately be remedied through arbitration. Small claims court actions within applicable jurisdictional limits are also exempt.
Waiver of class action and jury trial: You waive any right to a jury trial and to initiate or participate in any class action lawsuit, class-wide arbitration, or any other proceeding where a party acts in a representative capacity. This waiver applies to all disputes whether resolved through arbitration, in court, or otherwise.
Time Limitation on Claims
To the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be filed within one (1) year after the claim arose, or such claim is permanently barred.
Changes to Terms
We may update these Terms from time to time to reflect changes in our practices, the law, or for other operational reasons. When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via push notification or email for significant changes that materially affect your rights or obligations
- For changes that substantially alter the arbitration provision, provide at least 30 days' advance notice and allow you to opt out of the new terms
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
